(the “Company”), headquartered in Louisville, Kentucky, is a leading worldwide manufacturer and distributor of commercial air conditioning and air filtration products and systems primarily for commercial, institutional and industrial customers. The Company believes that it is a leading global manufacturer and distributor of air filtration products for non-vehicular applications and is a major participant in the global commercial heating, ventilation and air conditioning (“HVAC”) market. The Company maintains production facilities in eight countries and its products are sold in over 80 countries.

The Company operates under two separate divisions: AAF International, Inc. (“AAF International”) and McQuay International, Inc. (“McQuay International”). AAF International provides air filtration products under the AmericanAirFilterÒ and AAFÒ brand names and also provides air pollution control and machinery filtration and acoustical systems. McQuay International designs and manufactures HVAC equipment, primarily under the McQuayÒ brand name and services HVAC equipment for commercial, industrial and institutional customers.
